Terms and Conditions

1.1. Welcome: Please read these Terms carefully before using this Site or opening a NOVA account ("Account") so that you understand your legal rights and obligations with respect to NOVA Ecommerce Solutions, Inc. and its affiliates. The "Services" we provide include (a) the Site, (b) services provided by the Site and NOVA client software, and (c) all information, features, data, content, products, programming, applications, and materials made available through the Site or its related services ("Content").

1.2. Marketplace Role: Our Services provide a platform for the sale and purchase of technology and gadget products between buyers ("Buyers") and sellers ("Sellers"). The actual contract for sale is directly between Buyer and Seller. NOVA is not a party to that transaction and does not assume obligations in connection with such contracts. Users are responsible for sales contracts, product listings, warranties, and fulfillment.

1.3. Consent and Eligibility: Before using the Services, you must read and accept all terms and consent to the processing of your personal data as described in the NOVA Privacy Policy. If you are under 18 years of age or below the legal age for contractual consent in your jurisdiction, you must obtain permission from a parent or legal guardian who accepts these Terms on your behalf.

1.4. Platform Modification: NOVA reserves the right to change, modify, suspend, or discontinue all or any part of the Site or Services at any time. We may limit access to Services at our sole discretion, including for violation of these Terms.

1.5. Acceptance: BY USING NOVA SERVICES OR OPENING AN ACCOUNT, YOU ACCEPT AND CONSENT TO THESE TERMS. IF YOU DO NOT ACCEPT, DO NOT USE NOVA SERVICES.

2.1. Privacy Policy: Your privacy is important to us. Please review the NOVA Privacy Policy to understand how we collect and use information associated with your Account. By using Services, you consent to NOVA's collection, use, and disclosure of your personal data as described in our Privacy Policy.

2.2. Data Protection: Users who access other Users' data through the Services agree to comply with all applicable data protection laws and allow data subjects to access, correct, or remove their information upon request.

NOVA grants you a limited, revocable license to access and use the Services, subject to these Terms. All proprietary Content, trademarks, and intellectual property displayed on the Site are property of NOVA or relevant third parties. You may not copy, distribute, modify, or use automated tools to access Content without our prior written consent.

Any software provided as part of Services is subject to these Terms. NOVA reserves all rights not expressly granted. Third-party code referenced from the Services is licensed by their owners, not NOVA.

5.1. Account Registration: Some features require registration by selecting a unique username and password. NOVA reserves the right to suspend or terminate accounts for inappropriate usernames or at its discretion.

5.2. Security Practices: You agree to keep your password confidential, log out after each session, notify NOVA immediately of unauthorized use, and keep account information up-to-date. You are fully responsible for all activities under your Account.

5.3. Account Suspension/Termination: NOVA may terminate or suspend Accounts at its discretion for inactivity, violation of Terms, fraud, multiple accounts, non-payment, or other behavior deemed harmful. Termination may occur immediately without prior notice.

5.4. User-Initiated Termination: You may terminate your Account by written request to support@novaecommerce.com. Your Account will be deactivated at least 24 hours after notice. You remain responsible for outstanding transactions.

You agree not to:

• Upload, post, or transmit any unlawful, abusive, defamatory, obscene, or otherwise objectionable Content
• Violate any laws or third-party rights
• Impersonate others or provide false information
• Submit false verification documentation
• Use unauthorized hardware/software to access the Site (e.g., emulators, bots)
• Manipulate item prices or interfere with other listings
• Attempt to reverse engineer or hack Services
• Harvest or misuse other users' information
• Upload material containing malicious code
• Use Services for fraudulent or illegal activity

NOVA reserves the right to pre-screen, refuse, remove, or disable access to any Content at its discretion. You acknowledge all Content is your sole responsibility and accept personal liability for uploaded material.

Violations may lead to listing deletion, account restrictions or termination, civil/criminal action, withholding or adjustment of Seller funds, or any other remedies allowed by law. Report violations to support@novaecommerce.com.

NOVA does not permit listings that infringe intellectual property rights. IP owners may report infringement via our designated form. NOVA may remove or disable infringing listings and will process claims in accordance with the law.

NOVA supports various payment methods including credit/debit cards, digital wallets, and cash-on-delivery. Buyers are responsible for providing correct shipping and payment information. NOVA is not liable for errors or losses resulting from incorrectly entered information.

Sellers' sales proceeds are credited to their NOVA wallet (Seller Balance), from which they may transfer funds to linked accounts, subject to transaction and administrative fees. NOVA may apply or withhold funds in accordance with its policies or legal requirements.

NOVA's Buyer Protection program secures payments for purchases made through the platform until goods are received by the Buyer or the transaction is completed as per NOVA policy. NOVA is not obliged to mediate or resolve offline transactions.

Users may earn or redeem loyalty points ("NOVA Points") through eligible activities. NOVA Points have no cash value, may be subject to expiration, and are non-transferable. Rules for earning, redeeming, or forfeiting points are subject to change.

Sellers may participate in NOVA's paid or promotional marketing services, including purchasing advertising credits for boosting product visibility. Use and conditions of advertising credits are specified in the Seller Center and may be adjusted at NOVA's discretion.

Buyers and Sellers may choose NOVA-approved logistics providers for shipping. Sellers bear all risks during product delivery and are responsible for ensuring timely, compliant shipment. NOVA's liability ends once logistical arrangements are made.

NOVA charges Service Fees, including a Transaction Fee, Order Processing Fee, and Commission Fee on successful transactions, as detailed in the Seller Center. Fees are automatically deducted from transaction proceeds.

Buyers may cancel or return orders and request refunds according to NOVA's Refund and Return Policies. NOVA reserves the right to cancel any transaction per policy, and refunds will be processed accordingly. NOVA is not responsible for returns or refunds for offline payments.

No listing, sale, or purchase of illegal, regulated, or restricted items, or use of the Services for unlawful activities is permitted. Refer to NOVA's Prohibited Items Policy for details.

Buyers and Sellers are encouraged to resolve disputes through the platform's messaging first. If unresolved, Users may seek legal remedies or request support via NOVA's claims process, at NOVA's discretion.

19.1. "As Is" Services: The Services are provided "as is" and without warranties, express or implied. NOVA makes no guarantee as to uninterrupted service, product quality, or transaction outcomes.

19.2. Limitation of Liability: In no event shall NOVA be liable for indirect, incidental, consequential, or special damages. NOVA's total liability shall not exceed the total fees paid by you for the specific transaction giving rise to the claim.

20.1. Program Overview: NOVA offers a Green Seller Partnership Program that rewards sellers who obtain legitimate environmental certifications for their technology and gadget products. Participation is voluntary and subject to additional terms.

20.2. Certification Requirements: Sellers must provide valid, verifiable certifications from recognized local or international certification bodies. NOVA reserves the right to verify all submitted certifications and reject applications that do not meet program standards.

20.3. Tier Benefits: Certified sellers may qualify for reduced platform fees, enhanced visibility, and marketing support based on their certification tier (Bronze, Silver, or Gold). Benefits are subject to change and may be modified or terminated at NOVA's discretion.

20.4. Compliance: Sellers participating in the Green Seller Program agree to maintain valid certifications and comply with all program requirements. False or fraudulent certification claims may result in immediate program removal, account suspension, and legal action.

21.1. Governing Law: These Terms shall be governed by the laws of the Republic of the Philippines. Any legal action will be brought exclusively in the competent courts of Metro Manila, Philippines.

21.2. Arbitration: The parties agree to first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
